These Terms of Service (the “Terms”) are a legal agreement between you and Praise Pipeline LLC (“PraisePipeline,” “we,” “us,” or “our”) and govern your access to and use of the PraisePipeline review-collection platform, websites, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Definitions
- “Service” means the PraisePipeline platform, including the dashboard, review-collection flow, and embeddable widget.
- “Customer,” “you,” or “your” means the business and its authorized users that register for and use the Service.
- “End Customer” means a person who submits or receives a review request through your use of the Service.
2. Eligibility
You must be at least 18 years old to use the Service. If you use the Service on behalf of a business or other entity, you represent that you are authorized to bind that entity to these Terms, and “you” refers to that entity.
3. Accounts
You must provide accurate, current information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You may invite team members to your account; you are responsible for their access and their actions within the Service. Notify us promptly of any unauthorized use of your account.
4. The Service and license to use it
Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes during your subscription. We may modify, improve, or discontinue features of the Service from time to time.
5. Subscriptions, billing, and payment
- Free trial. We may offer a free trial (currently 14 days, no payment card required). At the end of the trial, access to paid features requires an active subscription.
- Fees and renewal. Paid subscriptions are billed in advance on a recurring basis through our third-party payment processor and automatically renew for successive periods until canceled. You authorize us and our processor to charge your payment method for applicable fees and taxes.
- Price changes. We may change our fees; we will give reasonable advance notice, and changes take effect at your next billing period.
- Cancellation and refunds. You may cancel at any time, and your subscription will remain active through the end of the current paid period. Fees are non-refundable, and we do not provide refunds or credits for partial periods, except where required by law.
- Non-payment. If a payment fails or your subscription lapses, we may suspend or limit access to paid features until payment is resolved.
6. Your responsibilities and acceptable use
You are solely responsible for how you use the Service to contact your End Customers, and you represent and warrant that you will comply with all applicable laws, including anti-spam, email, and marketing laws such as the CAN-SPAM Act and any applicable consent and telephone/text-messaging requirements. Specifically, you agree that:
- You will only upload, connect, or import contact information for people you are permitted to contact, and you have any consent required to send them review requests.
- The information you provide is accurate and you have the right to use it.
- You will not use the Service to send unlawful, harassing, deceptive, or unsolicited communications.
7. Reviews and content
As between you and us, you and your End Customers retain ownership of the reviews, ratings, and other content submitted through your account (“Content”). You grant us a worldwide, non-exclusive license to host, store, process, display, and transmit Content as necessary to provide and improve the Service. End Customer information is handled as described in our Privacy Policy.
You are responsible for moderating and approving reviews within your account. You agree to use the Service in compliance with applicable review and endorsement rules, including the U.S. Federal Trade Commission’s guidance on endorsements and testimonials and the review policies of any platform where reviews are posted (such as Google). You will not create, solicit, or publish fake, misleading, or improperly incentivized reviews, and you will not manipulate, misrepresent, or selectively suppress reviews in a way that is deceptive.
8. Prohibited conduct
You agree not to, and not to permit others to:
- Use the Service in violation of any law or third-party right, or for any unlawful, infringing, or fraudulent purpose.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service, other accounts, or our systems.
- Reverse engineer, copy, resell, or create derivative works of the Service except as permitted by law.
- Upload malware or use the Service to store or transmit harmful or objectionable material.
9. Intellectual property
The Service, including its software, design, and trademarks, is owned by us or our licensors and is protected by intellectual-property laws. Except for the limited rights granted to you, we reserve all rights. If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction.
10. Third-party services
The Service integrates with third-party services, such as your connected e-commerce or CRM platforms, our payment processor, and Google. We are not responsible for third-party services, their availability, or their acts or omissions, and your use of them is governed by their own terms and policies.
11. Embeddable widget
We grant you a limited license to embed the review widget on websites you control to display your approved reviews. We may update the widget and do not guarantee uninterrupted availability. You may not alter the widget in a way that misrepresents reviews or their source.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure.
PraisePipeline is a tool that facilitates collecting and displaying reviews. We do not control, and are not responsible for: the content, accuracy, or truthfulness of any review; whether reviews are positive or negative; whether any third-party platform (including Google) publishes, removes, ranks, or displays a review; or any resulting impact on your reputation, search ranking, sales, customer relationships, or goodwill. You acknowledge that reviews reflect the independent opinions of your End Customers and that outcomes are outside our control.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR REPUTATION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14. Indemnification
You will defend, indemnify, and hold harmless PraisePipeline and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your Content, your communications with your End Customers, your use of the Service, or your violation of these Terms or applicable law.
15. Term and termination
These Terms apply while you use the Service. You may stop using the Service and cancel at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Service in a way that risks harm to us, other users, or third parties. Upon cancellation, your data is retained for a 90-day window during which you may reactivate your account or export your data, after which it is permanently deleted, except for records we are required to retain. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
16. Changes to the Service and these Terms
We may modify these Terms from time to time. When we do, we will update the “Last updated” date above and, for material changes, provide additional notice where appropriate. Your continued use of the Service after an update means you accept the revised Terms.
17. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Before filing a claim, the parties agree to first try to resolve the dispute informally by contacting each other. If the dispute is not resolved, you and we agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, and each party consents to personal jurisdiction there.
18. General
These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver. Neither party is liable for delays or failures caused by events beyond its reasonable control. We may provide notices to you through the Service or the email associated with your account.
